His practice includes mergers and acquisitions, securities offerings, corporate restructurings, and redomiciliations, as well as cross-border financings with considerable experience in the ship finance sector. He also regularly advises clients on Bermuda partnership law and regulatory matters, including compliance with the island’s economic substance regime.

Experience

At MJM, Brian draws on over two decades of practice in Bermuda and overseas, including time in Singapore and as a consultant to the Bermuda Monetary Authority. In this role, he advised on reforms to enhance the Authority’s regulatory and enforcement powers. His regulatory experience gives him a unique perspective on the intersection of law, policy, and enforcement. His clients value his pragmatic, commercially focused advice and strong drafting skills in complex international transactions.

Representative Work

  • Represented private and publicly listed shipping companies on range of capital raising and debt financing transactions ranging from private placements, IPOs and follow on equity offerings to syndicated cross-border loan facilities and bond offerings.
  • Advised international clients on M&A transactions.
  • Guided multinational groups through Bermuda corporate redomiciliations and restructurings.
